Proforma Invoice vs Invoice

A proforma invoice trips a lot of people up. It looks like an invoice, but it does not do the same job. Here is the difference in plain terms.

What a proforma invoice is

A proforma invoice is a preliminary bill sent before the goods or services are delivered. It tells the buyer what they will owe, in detail, so they can arrange payment, budget, or clear customs. It is not a demand for payment and it is not a final tax document.

How it differs from a normal invoice

A normal (or tax) invoice is issued once you have agreed to supply or have delivered. It is the official record used for accounts and tax, and it carries a unique invoice number. A proforma is provisional: the numbers can still change, and it does not go into your sales records the way a final invoice does.

Proforma vs quotation

The two are close cousins. A quotation is an offer to do work at a price. A proforma is more formal and itemised, often used for international orders or when the buyer needs a document that looks like an invoice to release payment. If you just want to win the job, a quotation is usually enough.

When a proforma is the right choice

Reach for a proforma when the buyer needs an invoice-style document before you can issue the real one. The classic cases are international trade, where it helps the buyer arrange payment or clear customs, and any situation where a customer's process needs a formal document to release funds or raise a purchase order.

For everyday work where you just want the client to agree a price, a quotation is simpler and does the job. Once the deal is done, always follow the proforma with a proper final invoice for your records.
